CLAUSE 1. Product Focus & SaaS Scope

These Terms and Conditions ("Agreement") govern the subscription, access, and operational use of "Tecnvirons Tech Influence Stock & Inventory Management System" (also marketed as MARSHAL), operated by Tecnvirons Pvt Ltd (India) and Tecnvirons LLC (USA), hereinafter referred to as "Tecnvirons", "Company", "We", or "Us".

The Platform is a specialized Software-as-a-Service (SaaS) commercial operating console providing:

• Stock & Inventory Management: Multi-warehouse live ledgers, bin-level item tracking, stock transfer validation, deficit detection, and FEFO batch/expiry control.
• AI Telecalling & Order Outreach: Voice synthesis call automation, automated dispatch notifications, and customer telephony integrations.
• B2B Commercial Order Management: Purchase order generation, vendor scorecards, route-optimized dispatch planning, and vehicle load calculations.
• GST & E-Invoicing Engine: Automated tax calculation (CGST/SGST/IGST), government e-invoice format generation, HSN code enforcement, and GSTR export modules.

CLAUSE 2. User Responsibilities & Legal Compliance

As a registered Business Entity or Subscriber ("Customer", "User", "You"), you agree to uphold the following operational standards:

• Credential Maintenance & Role Access: You are solely responsible for protecting all administrative usernames, passwords, API tokens, and role-based permissions assigned to your staff (Owner, Warehouse, Dispatch, Accounts). Any activity executed under your credentials is strictly deemed authorized by you.
• Data Accuracy & Inventory Records: Tecnvirons acts as an automated processing infrastructure. You maintain full responsibility for verifying the accuracy of all SKU quantities, purchase prices, sales values, warehouse location mapping, and vendor ledger inputs.
• Tax & Regulatory Compliance: You warrant that all commercial billing, invoice generation, HSN classifications, and credit note transactions conducted through the Platform strictly comply with national and state tax laws, including Indian Goods and Services Tax (GST) rules, e-way bill mandates, and government e-invoicing standards.

CLAUSE 3. Subscription, Billing & Commercial Terms

Access to the Platform is granted on a subscription basis in accordance with your selected plan tier (Marvel, Growth, Opal, or Enterprise):

• Billing Cycles: Subscriptions are billed prepaid on Monthly, Quarterly, Half-Yearly, or Annual billing terms. Upgrades take effect immediately; downgrades or seat reductions apply at the start of the subsequent billing cycle.
• Business Unit (BU) & Seat Limits: Each plan includes a defined allowance of Business Units and user licenses. Additional BUs or extra seat capacity incur standard add-on charges as set forth in your billing agreement.
• Credit Consumption Engine: Telecalling minutes, WhatsApp/SMS messaging, OCR document extractions, and Speak-to-Prescribe (STP) processing consume platform credits at designated consumption rates. Unused promotional or trial credits expire as specified.
• Payment Terms & Renewal: Invoices are payable upon receipt or via automated recurring payment methods. Overdue balances exceeding 14 calendar days may result in temporary suspension of console access until cleared.
• Cancellation & Refunds: You may cancel your subscription at any time via the console settings. Fees paid are non-refundable unless required by applicable law. Upon cancellation, you retain a 30-day grace period to export your raw inventory and financial data.

CLAUSE 4. Intellectual Property & Data Privacy Protections

Tecnvirons Proprietary Rights: Tecnvirons retains absolute ownership of all software code, platform architecture, database schemas, AI modules, machine learning models, UI/UX designs, trademarks, and documentation. No title, copyright, or intellectual property rights are transferred to Customer except the limited, non-exclusive, non-transferable subscription license granted herein.

User Data Privacy & Confidentiality:

• Data Ownership: You retain 100% ownership of your business data, stock records, client lists, transaction ledgers, and trade secrets uploaded to the console.
• Data Security & Encryption: Tecnvirons enforces industry-standard enterprise data security protocols, including AES-256 encryption at rest and TLS 1.3 encryption in transit.
• Non-Disclosure Guarantee: Tecnvirons will never sell, lease, disclose, or commercialize customer transaction data or contact lists to third-party advertisers.

CLAUSE 5. Service Availability, SLA & Data Backups

99.9% Uptime SLA Target: Tecnvirons endeavors to maintain a 99.9% Console Uptime SLA for core stock, dispatch, and billing operations, calculated on a quarterly basis excluding scheduled maintenance.

Maintenance Windows & Disaster Recovery:

• Scheduled Maintenance: Maintenance requiring platform downtime is performed during off-peak hours (typically 01:00 to 04:00 IST) with advance notification delivered via the console banner.
• Automated Data Backups: System ledgers and customer database snapshots are automatically backed up across geographically redundant cloud servers twice daily, ensuring zero-data-loss recovery targets.

CLAUSE 6. Limitation of Liability & Gateway Disclaimers

Standard SaaS Disclaimer: To the maximum extent permitted by law, Tecnvirons shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of anticipated revenue, business interruption, or data corruption arising from your use of the Platform.

Third-Party Gateway Disruptions: Tecnvirons integrates with external third-party infrastructure APIs, including government GST E-Way Bill / E-Invoice portals, telecom carrier SMS gateways, WhatsApp Business infrastructure, and banking payment gateways. Tecnvirons is not liable for service delays, API downtime, rate-limit throttles, or system outages caused directly by such third-party providers.

Liability Cap: Tecnvirons' maximum aggregate liability under this Agreement for any and all claims shall be strictly capped at the total subscription fees paid by Customer to Tecnvirons in the six (6) months immediately preceding the event giving rise to liability.

CLAUSE 7. Governing Law & Contact Information

This Agreement shall be governed by and construed in accordance with the laws of India (for India-registered subscribers) or the State of Illinois, USA (for North American & International subscribers), without regard to conflict of law principles.
